The responsibility for filing Form 1099-S falls on specific individuals or entities involved in real estate transactions. The following parties are generally required to file:

1. Real Estate Professionals and Settlement Agents

Entities responsible for closing real estate transactions must file Form 1099-S if they oversee the sale or exchange of:

  • Land (improved or unimproved)
  • Residential properties (homes, condos, apartments)
  • Commercial properties
  • Industrial properties
  • Co-op sales

These professionals may include:

  • Real estate brokers or agents
  • Escrow companies
  • Closing attorneys
  • If multiple parties are involved in closing, the "responsible party" is usually the person or company who prepares the closing statement and facilitates fund transfers.
